BNKA Referral Program
Terms and Conditions

1. Identification of the Issuer
The Referral Program is offered by BNKA, a brand operated by entities within the Neoxpat group, which provide technology services and access to financial infrastructure through duly regulated third-party providers, as applicable in each jurisdiction.
BNKA does not act as a bank, payment institution, or investment services provider. It does not provide financial, tax, or investment advice. The services available may vary depending on the user’s location and the applicable regulatory framework.
2. Definition of the Program
The BNKA Referral Program (hereinafter, the “Program”) allows existing and verified users of the BNKA platform (hereinafter, “BNKA” or the “Platform”) to invite new users to register using a personal invitation code. As a promotional incentive, BNKA may grant internal promotional credits, applicable exclusively as a discount on service fees for certain transactions carried out within the Platform, subject to the conditions set forth herein.
3. Nature of the Promotional Credit
The promotional credit granted under this Program:
Does not constitute cash, monetary value, or currency equivalent.
Is non-transferable, non-withdrawable, and cannot be converted into available balance.
Does not accrue interest or generate any yield.
May only be used as an automatic discount applied exclusively to the service fee charged by BNKA in eligible transactions. It does not apply to exchange rates, spreads, or the principal transaction amount.
References to “USD” in this document are for indicative purposes only, as an estimated reference value at the time of activation, and do not constitute a promise of exchange rate, parity, or monetary equivalence.
4. Definition of “Swap” and Eligible Transactions
For the purposes of this Program, a “swap” or “exchange” means an internal conversion transaction of digital assets or currencies (between digital assets, or between digital assets and fiat currency), executed within the BNKA Platform through external technology and liquidity providers.
The following are not considered eligible transactions:
Withdrawals from the Platform.
Transfers between accounts.
Transactions executed outside the Platform.
Reversed, canceled, or disputed transactions.
Transaction eligibility shall be automatically determined by BNKA’s systems.
5. Eligibility and Jurisdictional Restrictions
The Program is available only to individuals of legal age who reside in jurisdictions where participation in this type of promotional program is not prohibited or restricted by applicable law.
The following may not participate:
Individuals listed on international sanctions lists (OFAC, EU, UN, or others as applicable).
Politically Exposed Persons (PEPs), where determined by BNKA’s internal policy.
Individuals suspected of fraud, unlawful activities, or non-compliance with applicable AML/CFT regulations.
Individuals whose identity cannot be verified in accordance with BNKA’s KYC standards.
6. Credit Activation Conditions
The promotional credit will be activated only when the referred user cumulatively meets all of the following conditions:
Full registration on the Platform using a valid referral code.
Successful identity verification (KYC) approved by BNKA.
Execution of an eligible swap transaction with an estimated equivalent value equal to or greater than USD 150 (one hundred fifty reference dollars), calculated according to BNKA’s internal reference value at the time of execution.
7. Promotional Credit: Amount and Limits
Once the activation conditions are met, both the referring user and the referred user may receive a promotional credit of up to five (5) credit units each (estimated equivalent: USD 5), with a maximum total of ten (10) credit units per referral (estimated equivalent: USD 10).
The USD value indicated is an estimated reference at the time of activation and may vary.
The use of “USD” is strictly for reference purposes and does not imply the delivery of fiat currency. BNKA does not guarantee parity, exchange rate, or monetary equivalence.
8. Application, Validity, and Use of the Credit
The promotional credit is automatically applied as a discount on the service fee in future eligible transactions (swaps), each with a minimum estimated equivalent value of USD 150.
If the transaction fee is lower than the available credit balance, the credit will be partially consumed, and the remaining balance will roll over to future eligible transactions until exhausted or expired, whichever occurs first.
The credit will remain valid for ninety (90) calendar days from the activation date.
After this period, any unused credit will automatically expire without the right to compensation, reimbursement, or extension.
The credit will be immediately forfeited in the event of account closure, whether voluntary or at BNKA’s discretion.
9. Limits, Abuse Prevention, and Reversal
To ensure the integrity of the Program:
A maximum of three (3) valid referrals per referring user.
One (1) referral per verified identity or per device.
The following are prohibited: self-referrals, creation of multiple accounts by the same individual, use of third-party identity data, and commercial, advertising, or affiliate campaigns without BNKA’s prior written authorization.
BNKA uses technical device identifiers and other automated mechanisms solely to prevent abuse and fraud in the Program, in accordance with BNKA’s Privacy Policy.
Reversal clause: BNKA reserves the right to deny, suspend, reverse, or cancel promotional credits if it detects or reasonably suspects fraud, Program abuse, breach of these Terms, indications of AML/CFT violations, or any conduct that compromises the integrity of the Program or the Platform.
Review window: BNKA may apply a post-activation review period before enabling effective use of the credit to validate the legitimacy of the transaction and referral.
10. Legal Notice – No Advice
The Program does not constitute and shall not be interpreted as financial advice, investment recommendation, solicitation to trade digital assets, or promotion of a risky activity. The promotional credit is a limited commercial incentive that solely reduces the service fee cost for transactions that the user freely and independently chooses to execute.
Users are solely responsible for assessing the risks associated with transactions carried out on the Platform. BNKA does not provide recommendations regarding the suitability of specific transactions.
11. Personal Data Protection
Participation in the Program involves the processing of personal data for identity verification, fraud and abuse prevention, and proper execution of the Program.
Data processing is carried out in accordance with BNKA’s Privacy Policy, available on the Platform, and applicable data protection regulations, including the General Data Protection Regulation (GDPR), where applicable. The legal basis for processing is legitimate interest and/or applicable legal obligation.
Users may exercise their rights of access, rectification, erasure, and objection (ARCO rights) or their equivalents under applicable law by contacting BNKA through the channels indicated in clause 13.
12. Modifications to the Program
BNKA may modify, suspend, or cancel the Program at any time for operational, regulatory, or security reasons.
Where modifications are material, BNKA will notify users via the app and/or email with reasonable prior notice, unless the modification is required for security, fraud prevention, or regulatory compliance reasons, in which case it may take effect immediately.
Modifications will not have retroactive effect on credits already applied or effectively used by users. Participation in the Program implies full and unconditional acceptance of these Terms and Conditions and any amendments thereto.
13. Claims and Disputes

Users shall have thirty (30) calendar days from the date on which the credit should have been activated to submit a claim. BNKA undertakes to respond within a reasonable timeframe. Claims must include: user identification, referral code used, and a description of the issue.
14. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws applicable to the operating entity corresponding to the user, without prejudice to mandatory consumer protection regulations.
For the resolution of disputes arising from these Terms, the parties submit to the jurisdiction of the competent courts in accordance with the applicable operating entity and legislation, waiving any other jurisdiction that may otherwise apply.
15. Acceptance
Participation in the Referral Program implies full and unconditional acceptance of these Terms and Conditions, including any future amendments made in accordance with clause 12.
